Terms of service

These Terms of service (the "Terms") form a binding agreement between you ("you", the "User") and ZFM Alliance SARL, a French company with its registered office at 60, Rue François 1^er, 75008 Paris, France ("DexeLabs", "we", "us"). They govern access to and use of the DexeLabs service (the "Service"), the website at dexelabs.com, and any related applications.

By creating an account or using the Service, you accept these Terms in full. If you do not accept them, you must not use the Service.

1. The service

The Service generates motion-design videos from audio that you upload, record or generate via integrated text-to-speech providers. Generation is performed by automated tools, including third-party large language models and serverless rendering pipelines. The output is delivered as downloadable video files.

2. Eligibility and account

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract under the laws of your country of residence. You agree to provide accurate information when creating your account and to keep your credentials confidential. You are responsible for all activity that takes place on your account.

3. Plans, billing and refunds

The Service is offered through paid subscription plans (currently Pro and Ultimate) at the prices displayed on our pricing page. Subscriptions are billed monthly or annually in advance, in the currency shown at checkout. All prices are exclusive of any applicable VAT, which will be added where required.

Subscriptions renew automatically at the end of each billing period unless cancelled before renewal from your account. All payments are final: we do not offer refunds, whether for the initial subscription, a renewal, or unused credits.

Credits included in a plan reset at each monthly billing cycle and do not roll over. Top-up credits purchased in addition to a plan persist until consumed or until the account is closed.

4. Acceptable use

You agree not to use the Service to:

• generate content that is illegal under French or EU law, including content that infringes intellectual property rights, defames a natural or legal person, incites hatred or violence, or facilitates financial fraud;
• impersonate another person or entity, including by cloning their voice without consent;
• generate sexually explicit content involving minors or any content depicting non-consensual sexual activity;
• attempt to reverse-engineer the Service, scrape its outputs at scale to train a competing model, or circumvent rate limits or technical safeguards;
• resell or redistribute access to the Service without our prior written consent.

We may suspend or terminate accounts that violate this section, immediately and without prior notice when the violation is manifest.

5. Your content

You retain ownership of all content you submit to the Service — including audio recordings, scripts, brand assets and any custom fonts ("User Content"). You grant DexeLabs a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, transcode and process your User Content for the sole purpose of operating the Service for you (including running it through third-party processing providers listed in our Privacy policy).

You represent and warrant that you hold all rights necessary to upload, record or generate the User Content, including any rights to the voice contained in audio recordings or generated by integrated text-to-speech providers.

6. Generated content

Subject to your full payment of the applicable subscription, DexeLabs assigns to you all rights it may hold in the videos generated through your account, to the extent such rights exist under applicable law. You are solely responsible for the lawful use of those videos, including for any necessary third-party clearances (music, voice, likeness, trademarks).

Because the Service relies on probabilistic models, we cannot guarantee that generated outputs are unique or free from coincidental similarity with pre-existing material. You are responsible for reviewing each output before publication.

7. Third-party providers

The Service integrates with third-party providers including (without limitation) Stripe (payments), NowPayments (crypto payments), Cloudflare R2 (media storage), Amazon Web Services (rendering), Anthropic (large language models), ElevenLabs (text-to-speech and transcription) and Resend (transactional email). Your use of features relying on these providers is also subject to their respective terms. Where a feature requires you to supply your own API key (for instance, ElevenLabs), you are responsible for the cost and compliance of that account.

8. Intellectual property

DexeLabs, the Website, the Service, the underlying software, the visual identity and the documentation are protected by intellectual property laws and remain the exclusive property of ZFM Alliance SARL and its licensors. No right is granted to you other than the limited right to use the Service in accordance with these Terms.

9. Service availability and changes

We strive to keep the Service available but do not guarantee an uninterrupted operation. Maintenance, third-party outages or force majeure events may cause temporary unavailability. We may update, change or discontinue features at any time; where a change materially reduces the value of an active subscription, we will notify you by email and offer a fair remedy.

10. Liability

To the maximum extent permitted by applicable law, DexeLabs shall not be liable for any indirect, incidental or consequential damages, including loss of revenue, loss of data or loss of opportunity, arising out of or in connection with the use of the Service. In any event, DexeLabs' aggregate liability for any claim relating to the Service shall not exceed the amounts you paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under French law, including liability for gross negligence or wilful misconduct.

11. Termination

You may cancel your subscription at any time from your account; the cancellation takes effect at the end of the current billing period. We may terminate or suspend your account in case of material breach of these Terms, of payment default, or where required by applicable law. Upon termination, your right to access the Service ceases, and we may delete your User Content after a grace period of thirty (30) days unless a longer retention is required by law.

12. Governing law and disputes

These Terms are governed by French law. Before any legal action, you agree to attempt an amicable resolution by contacting us at hello@dexelabs.com. Consumers residing in the European Union may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr. Failing an amicable resolution, any dispute will be submitted to the competent courts within the jurisdiction of the Cour d'appel de Paris, subject to mandatory rules of consumer protection.

13. Changes to these terms

We may amend these Terms from time to time. The updated version takes effect on the date stated at the top of this page. For changes that materially affect your rights, we will notify you by email at least thirty (30) days in advance; continued use of the Service after the effective date constitutes acceptance of the new Terms.
